1. Acceptance of Terms

By accessing or using Akradan ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Account Registration & Responsibility

2.1 Creating an Account

You must provide accurate, truthful information when registering. You are responsible for:

Maintaining the confidentiality of your password and account
All activity that occurs under your account
Notifying us immediately if you suspect unauthorized access

2.2 Prohibited Account Holders

You may not use Akradan if you:

Are under 18 years old (or age of majority in your jurisdiction)
Are legally prohibited from using AI services in your country
Have been previously terminated from Akradan
Are using the account on behalf of a sanctioned entity or individual

3. Acceptable Use Policy

You agree NOT to use Akradan to:

3.1 Illegal Content & Activities

Generate, upload, or distribute child sexual abuse material (CSAM)
Incite, plan, or facilitate violence, terrorism, or harm
Create content for illegal activities (fraud, hacking, money laundering, drug trafficking)
Doxx, harass, stalk, or threaten individuals
Violate intellectual property rights (copyright, trademark, trade secrets)
Violate privacy laws (GDPR, CCPA, etc.)

3.2 Account & Service Abuse

Share your account credentials or sell access to others
Resell or redistribute Akradan services
Use automated tools to scrape, mine, or extract data without authorization
Attempt to reverse-engineer, bypass, or hack the Service
Launch DDoS attacks or intentionally degrade service
Circumvent rate limits or security measures

3.3 Content & Data Misuse

Upload or generate hateful content targeting protected groups
Generate non-consensual intimate imagery or deepfakes
Impersonate other people or organizations
Use the Service to create spam or phishing content
Mislead users about AI-generated content origin

4. Content Ownership & Responsibility

4.1 Your Content

You retain ownership of content you upload (documents, chats, files). By uploading, you grant Akradan a non-exclusive license to:

Store and process your content
Use it to improve AI model performance (unless Privacy+ plan disables this)
Display it in your account

4.2 Your Responsibility

You are solely responsible for content you upload. You warrant that:

You own or have permission to use all uploaded content
Content does not violate third-party rights
Content is not illegal or harmful
You will not hold Akradan liable for how AI models interpret or respond to your content

4.3 AI-Generated Content

Content generated by AI models (responses, suggestions, outputs) is provided "as-is." You are responsible for:

Reviewing AI outputs before using, publishing, or sharing
Verifying factual accuracy (AI can hallucinate)
Ensuring compliance with laws and third-party rights
Disclosing when content is AI-generated if required by law

5. Account Suspension & Termination

5.1 Right to Suspend

Akradan monitors accounts for abuse using automated detection and human review. We reserve the right to immediately suspend or terminate your account if we detect:

Auto-Suspend (Immediate, No Warning):

Illegal Content: Generation of CSAM, terrorism incitement, doxxing, or other illegal material
Account Compromise: Login patterns indicating unauthorized access (impossible geolocation jumps, credential attacks, 10+ concurrent sessions from impossible locations)
Reselling or Redistribution: Sharing account access or Akradan features with third parties for commercial gain
Service Abuse/DDoS: Request patterns designed to overwhelm service (intentional rate limit bypassing, coordinated bot attacks, 500+ API requests/minute)

Flag-for-Review (24-Hour Grace Period):

Abnormal Document Uploads: Bulk uploads suggesting automated scraping or bot activity

5.2 Upload Flagging & Grace Period

If we detect abnormal upload patterns:

We flag your account and send you a notification within 2 hours
You have 24 hours to respond and explain the activity
If legitimate (law office onboarding, consulting firm data migration, researcher bulk import, etc.), we whitelist your account for future uploads
If no response or explanation is unsatisfactory, we suspend your account after 24 hours

Legitimate Upload Patterns (will NOT be flagged):

100–500 documents/day (steady business-hours activity)
20–50% of uploads searched/used within 7 days
Original files, case files, research documents with consistent metadata
Uploads correlating with business hours in user's timezone

Abnormal Upload Patterns (will be flagged):

1,000+ documents/day or >100 documents in 1 hour
<1% of uploads used or searched within 7 days
Scraped from public sources with identical/suspicious metadata
Non-stop 24/7 uploads with no user interaction

5.3 Auto-Suspend Violations (No Appeal)

Illegal content, account compromise, reselling, and DDoS violations result in:

Immediate permanent suspension without warning
All account data deleted within 24 hours
No appeal process or data recovery

5.4 Account Compromise Response

If we detect signs of compromise (impossible logins, credential attacks):

Immediate account suspension for security
Password reset requirement before reactivation
Notification within 24 hours with details
No penalty if you verify you're the legitimate owner

5.5 Monitoring & Detection

Akradan employs:

AI-powered content scanning for illegal material
Geolocation velocity checks for impossible travel
Credential attack detection
Upload pattern analysis (volume, timing, source, metadata)
API behavior monitoring (request frequency, concurrency, token usage)
User interaction ratio analysis (uploads vs. actual usage)

5.6 Appeal & Data Export

For flagged uploads (24h grace): You may appeal by responding to the notification email within 24 hours.

For auto-suspend violations: No appeal process available.

Data Export: Upon suspension (any reason), you may request export of your data within 30 days. After 30 days, all data is permanently deleted.

6. Payment & Billing

6.1 Pricing

Akradan pricing consists of:

Storage & Collaboration: Monthly subscription ($/month)
AI Usage: Per-token cost via OpenRouter (you provide your own OpenRouter API key)

You see per-token pricing in the UI before using any model.

6.2 Payment Method

You must provide valid payment information. Akradan charges:

Storage fees on the date you sign up, then monthly
AI usage costs directly to your OpenRouter account (not through Akradan)

6.3 Cancellation

You may cancel your Akradan subscription anytime. Cancellation takes effect at the end of your billing cycle. You retain access to your data for 30 days post-cancellation.

7. Privacy & Data

7.1 Data Collection

We collect:

Account info (name, email, usage patterns)
Content you upload and AI interactions (unless Privacy+ is enabled)
Login and device info (for security)

7.2 Privacy+ Plan

Privacy+ adds:

Prompt sanitization (automatic masking of sensitive data)
Zero-retention (your prompts not used to train models)
Encryption for storage

7.3 Third-Party Processors

Your content is processed by:

OpenRouter (routes requests to AI models)
Anthropic, OpenAI, Google, xAI (process prompts via their APIs)
Supabase (stores data)
Vercel (hosts Service)

8. Disclaimers & Liability

8.1 "As-Is" Service

Akradan is provided "AS-IS" without warranties. We do not guarantee:

Uptime or availability
Accuracy of AI outputs
Security or data integrity
Compatibility with third-party services

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Akradan is not liable for:

AI hallucinations or errors in generated content
Loss of data or account access
Unauthorized access due to user negligence
Third-party actions (OpenRouter, OpenAI, Google, etc.)
Indirect, incidental, or consequential damages

Our liability is limited to the amount you paid Akradan in the past 12 months.

8.3 User Responsibility

You use Akradan at your own risk. You are responsible for:

Reviewing AI outputs before publication
Verifying factual accuracy
Maintaining backups of important data
Complying with all laws
Protecting your account credentials

9. Intellectual Property

9.1 Akradan IP

Akradan retains all rights to:

The platform, code, design, UI/UX
Documentation, trademarks, logos
Improvements or feedback you provide

9.2 Third-Party IP

AI models (ChatGPT, Claude, Gemini, Grok) are owned by their respective companies. You must comply with their usage policies.

9.3 Your Content

You retain ownership of content you create or upload. You grant Akradan a license to store and process it.

10. Modifications & Termination

10.1 Service Changes

Akradan may modify the Service, pricing, or features at any time. We'll notify you of material changes via email (30 days notice when possible).

10.2 Termination

Akradan may terminate this agreement and your account:

For violations of this ToS
For non-payment
For inactivity (180+ days)
Due to legal requirements
At our discretion, with 30 days notice (for non-violation terminations)

11. Dispute Resolution & Governing Law

11.1 Governing Law

These Terms are governed by the laws of the State of Hawaii, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Hawaii.

11.2 Arbitration

Any dispute shall be resolved through binding arbitration administered by JAMS under its Comprehensive Arbitration and Mediation Services Rules & Procedures, rather than in court. Both parties waive the right to jury trial or class action. Arbitration shall take place in Hana, Hawaii or virtually at the parties' mutual discretion.

12. Miscellaneous

12.1 Entire Agreement

This ToS, along with our Privacy Policy, constitutes the entire agreement.

12.2 Severability

If any clause is unenforceable, the rest remains in effect.

12.3 Changes

Akradan may update this ToS at any time. Continued use = acceptance. We'll notify you of material changes.
